When the chain becomes the principal's balance sheet.
One missed A1, one unpaid SOKA-BAU contribution three tiers down, and the audit attaches at the named guarantor — not at the subcontractor that caused it.
Request Technical BriefingThe bid model for a €50-500M public civil lot — tunnel, motorway, specialty foundation, judicial or hospital build — is constructed on the assumption that Tier-2 and Tier-3 subcontractors execute compliantly. The 2026 regulatory stack does not honour that assumption. Each operative regime names the principal contractor as joint debtor for every sub-tier's wage, social-contribution and posted-worker exposure, on a no-fault basis.
The operational consequence is asymmetric. A missed A1 declaration at Tier-3, an unpaid SOKA-BAU contribution, a defaulted posted-worker filing in France or Sweden attaches as joint debt to the entity holding the principal-contract relationship. Discovery typically occurs at week 12-14 of execution — past the point at which the chain can be renegotiated, ahead of the point at which the changed conditions can be invoiced.
The regulatory surface operative through 2026 is concrete and named. Germany: §14 AEntG (Generalunternehmer-Bürgenhaftung, no-fault), §266a StGB, SchwarzArbMoDiG from 1 January 2026, SOKA-BAU at 20.2% West (15.1% + 1.9% + 3.2%). France: URSSAF Art. L8222-1 / L8222-2 with Décret 2025-1338 tightening vigilance documentation from 1 January 2026. Sweden: Lag (2018:1472) entreprenörsansvar with 14+7 helgfria vardagar notification windows, plus Prop. 2025/26:87 arbetstillstånd reform from 1 June 2026. Finland: Tilaajavastuulaki §9, laiminlyöntimaksu €2,110-€21,100 basic and €21,100-€68,500 korotettu. Austria: §67a ASVG AGH-Bau, lifted from 25% to 40% Werklohn from 1 January 2026 under Betrugsbekämpfungsgesetz 2025.
The failure mode is documentary, not contractual. The principal's defensive posture cannot be reconstructed at the moment the inspector arrives at the gate; the evidence pack must exist before the worker entered the site. The instrument is the chain architecture and the per-worker per-jurisdiction documentary trail — pre-mobilised, not assembled.
Five regimes. Cited maxima. No-fault attachment.
Each row carries the regulator's own published ceiling against the principal-contractor footprint. Figures are statute-derived, not aggregate estimates.
- GERMANY · §14 AENTG GU-HAFTUNG 20.2% Bruttolohn PER UNPAID SUB-TIER · NO-FAULT
Generalunternehmer-Bürgenhaftung attaches to the principal for every sub-tier's unpaid SOKA-BAU contribution at 20.2% Bruttolohn West (15.1% + 1.9% + 3.2%). The principal owes whether or not it caused the default; SchwarzArbMoDiG from 1 January 2026 adds direct §266a-StGB Beschuldigtenladung without Staatsanwaltschaft-Umweg.
§14 AENTG · §266A STGB · SOKA-BAU · SCHWARZARBMODIG 2026 - FRANCE · URSSAF SOLIDARITÉ FINANCIÈRE 3× cotisations RETROACTIVE CASCADE · DONNEUR D'ORDRE
Décret 2025-1338 from 1 January 2026 tightens the L8222-1 / L8222-2 vigilance documentation cascade — unpaid social contributions across the sub-chain cascade retroactively to the donneur d'ordre at a multiplier on the unpaid base. Discharge requires the per-worker vigilance pack pre-mobilisation; reconstruction after URSSAF notification is not available.
URSSAF L8222-1 / L8222-2 · DÉCRET 2025-1338 · CARTE BTP - SWEDEN · KEDJEANSVAR 14 + 7 vardagar CLAIM + NOTIFICATION WINDOW · HUVUDENTREPRENÖR
Lag 2018:1472 entreprenörsansvar gives the worker-claimant a 14-helgfria-vardagar claim window plus 7 vardagar for huvudentreprenör notification; the prime is named for sub-tier wage default at SEK 236,800 per worker beyond three months. Prop. 2025/26:87 from 1 June 2026 lifts the Migrationsverket arbetstillstånd lönegolv to SEK 34,200 / SEK 236,800 across the construction corridor.
LAG 2018:1472 · PROP. 2025/26:87 · ID06 UDS-1 - FINLAND · TILAAJAVASTUULAKI §9 €21,100 – €68,500 KOROTETTU LAIMINLYÖNTIMAKSU · PER CONTRACT
Korotettu laiminlyöntimaksu attaches when the ordering principal failed to obtain the §5 selvitykset before contract conclusion — per-contract, per-jurisdiction, no second-best documentary path. The €2,110 – €21,100 perustaso bracket applies to the basic non-compliance; €21,100 – €68,500 korotettu applies when the omission is qualified by the inspector.
TILAAJAVASTUULAKI §9 · §5 SELVITYKSET · AVI - AUSTRIA · §67A ASVG AGH-BAU 40% Werklohn AUFTRAGGEBER-HAFTUNG · NO-FAULT
Betrugsbekämpfungsgesetz 2025 lifts the §67a ASVG Auftraggeber-Haftung from 25% to 40% of Werklohn from 1 January 2026. The principal funds the sub-tier's BUAK and ASVG contributions in advance against the named guarantor footprint; discharge is at the HFU-Gesamtliste check before the work is awarded, not after the default surfaces.
§67A ASVG · BBKG 2025 · BUAK · HFU-GESAMTLISTE
When the architecture problem becomes acute.
The conditions under which Bayswater is the appropriate counterparty rather than an additional Nachunternehmer line. Each trigger names a structural moment, not a marketing occasion.
- 01
A bid lot above €100M with subcontracted workforce exceeding 40% of labour cost.
At that share, the per-worker compliance surface dominates the schedule and budget exposure. A 40%+ subcontracted profile is no longer a procurement question — it is a chain-architecture question, and the architecture either discharges the liability or concentrates it on the named guarantor.
- 02
A jurisdiction's enforcement regime tightens within 90 days of mobilisation.
SchwarzArbMoDiG (DE, 1 January 2026), Décret 2025-1338 (FR, 1 January 2026), Prop. 2025/26:87 (SE, 1 June 2026) and Betrugsbekämpfungsgesetz 2025 (AT, 1 January 2026) each shift the documentary threshold during the calendar in which European civil lots are mobilised. Sub-tier readiness designed against the prior regime fails on day one of the new one.
- 03
The chain has more than three tiers and any tier is not Bayswater-managed.
The fourth tier is operationally invisible from the principal's site. Every regime listed above attaches the unmanaged tier's default to the principal as joint debtor. The architectural fix is to collapse the unmanaged tiers, not to draft tighter back-to-back clauses against them.
- 04
A listed parent's CSRD ESRS S2 cycle is approaching without per-worker evidence captured at deployment.
ESRS S2 workforce-in-the-value-chain disclosure, and Loi 2017-399 vigilance reporting where applicable, demand per-worker documentation that cannot be reconstructed retroactively. If the evidence was not captured before the worker entered the site, the disclosure cycle inherits an architectural gap that audit will name.
- 05
An FKS, URSSAF, AVI, NLA or DREETS inspection has been notified or is anticipated.
At the point of inspector notification, the defensive posture is fixed. The retainer's value is in the pre-mobilisation phase — the per-worker per-jurisdiction pack already exists, already names the responsible counterparties, already discharges the chain. Engagement after notification is remediation; engagement before notification is architecture.
Where this problem lands in the catalogue
Eight entry points mapped to the chain-liability architecture above — chain redesign and managed delivery as the structural instruments, audit defence and jurisdiction surfaces as the operational instruments, value-chain disclosure as the upward-reporting surface, with the construction end-market and Spezialtiefbau application surfaces where the chain instantiates on site.
Subcontractor Chain Redesign
§14 AEntG, §266a StGB and URSSAF solidarité financière are no-fault joint liability. They respond to architecture, not to negotiation.
DELIVERY MODELWorkforce as a Service
End-to-end managed deployment that replaces the typical multi-tier Nachunternehmer chain with a single auditable interface per worker, per site.
AUDIT DEFENCEAudit Defence Retainer
Pre-mobilised FKS / URSSAF / AVI / NLA / DREETS response so the inspector arrives at a constructed defence, not an assembled one.
JURISDICTIONGermany §14 AEntG GU-Haftung
SchwarzArbMoDiG + SOKA-BAU 20.2% + §266a StGB mapped to a Generalunternehmer footprint, including the Mindestlohn-Bau LG2/LG3 step of 1 April 2026.
JURISDICTIONFrance URSSAF Solidarité Financière
Décret 2025-1338 retroactive cascade discharged at the per-worker documentary pack, with CSDDD readiness folded in.
DISCLOSURECSRD ESRS S2 Workforce Disclosure
Per-worker value-chain documentation feeding directly into listed-parent annual reports and PE-portfolio fund reporting.

- Décret 2025-1338: How France's URSSAF Solidarité Cascade Will Stress-Test Every Donneur d'Ordre in 2026Décret 2025-1338, in force since 1 January 2026, tightens the vigilance documentation cascade under Articles L8222-1 and L8222-2 of the Code du travail. The mechanism has not changed; the documentary threshold has. For every donneur d'ordre operating a sub-contracted workforce in France, the obligation is now to demonstrate that vigilance was exercised, not merely contracted.
- SchwarzArbMoDiG 2026: When FKS Hauptzollamt Acquired Direct Prosecutorial PowersThe Schwarzarbeitsbekämpfungsmodernisierungsgesetz, in force since 1 January 2026, gave the FKS Hauptzollamt direct §266a-StGB Beschuldigtenladung powers without prosecutorial intermediation. Pre-2026 the FKS conducted administrative inspections; post-2026 the FKS conducts criminal investigations. For the Generalunternehmer with sub-contracted workforce, the §14 AEntG cascade now propagates with criminal-procedure velocity.
