Qatar's regime for non-Qatari ownership of real estate is a list. Nine named areas in which a non-Qatari person may own outright. Sixteen in which it may hold a usufruct for ninety-nine years. The rest of the State, in which it may hold neither. The list is the instrument, and a parcel's position on it is the first fact in the parcel's file, before title, before tenure and before price. A platform that reads the parcel before the list has read the wrong document first, because the list decides whether the parcel is an asset a foreign platform can hold at all, and if it is, whether it is an asset for any term or a wasting one. Everything else in the file, title, encumbrances, consents, value, is read in the light of that first fact.

This note sets out the list and its two kinds of area, the difference between freehold in the nine and a usufruct in the sixteen, what a term does to a platform and its three dates, the grantor as a party for the life of the holding, the valuation of a term, the onshore funds law beside the list and why a foreign platform sits in the Centre, the 2019 foreign investment law for the parcel companies, the areas as a map of the State's plans, a comparison, a worked holding as a type, cases, what each party holds, the sequence, questions, terms and what to read.

The nine and the sixteen

Freehold in one of the nine areas is an asset a vehicle can hold for any term and sell to any permitted buyer, and its value is the value of the land and what is on it. A usufruct in one of the sixteen is a right to use and enjoy the land for ninety-nine years from the grant, and it is a wasting asset with a term that runs from the grant rather than from the vehicle's acquisition. A platform that buys a usufruct with sixty years to run, holds for ten and sells with fifty remaining is selling something different from what it bought, and the purchaser prices the years. A platform that buys a usufruct with thirty years to run for a scheme that takes eight to build and needs twenty of operation to exit has bought an asset whose term ends before the exit.

The areas themselves are named in the instrument, and the instrument is amended from time to time by the State as its plans develop. A parcel outside the twenty-five is a parcel a non-Qatari cannot hold, and a structure that expects the list to widen to include it has built on an expectation rather than a fact. A watching brief with Qatari counsel catches additions; a structure paper does not assume them.

The three dates

A closed-ended vehicle holding usufructs has three dates to hold together. The usufruct's expiry, fixed at the grant. The vehicle's own term with its extensions, fixed in the constitution. And the programme on the parcel: the entitlement, the development, the stabilisation, and the operating period a purchaser will require to see before it buys. A hospitality scheme with an operator's management agreement of twenty years, on a usufruct with thirty years to run, in a vehicle with a term of eight, exits by assigning a usufruct with twenty-two years remaining to a purchaser who must accept the operator's agreement and obtain the grantor's consent to the assignment. Each of those is a consent, each is named in the exit test before the platform is formed, and the grantor's consent is the one with no clock.

The three dates are read together at entry, and the rule is that the remaining term must exceed the programme plus the exit plus the years a purchaser will need to hold, with a margin. A usufruct that fails the rule is not bought, or is bought only where the grantor has agreed in writing to an extension on terms the platform can price.

The grantor

A usufruct is granted by the State or a state body, and the grantor is a party to the holding for its life. The grant carries the grantor's conditions: the permitted use, the programme and its dates, the design and the approvals, the transfer and assignment provisions, the grantor's consent rights and the consequences of breach, which may include forfeiture. The grantor's consent is required for an assignment, which is the exit, and for a charge, which is the financing. The grantor's own programme, where the area is inside a masterplan, is a second regime above the planning regime. A platform that reads the area list and not the grant has read half the category, and the grant is read by Qatari counsel for the consents, the dates and the forfeiture.

Valuing a term

A usufruct is valued as an income stream for its remaining years, discounted, with the assumptions about the operator's agreement, the grantor's consent and the cost of the exit disclosed. A valuer instructed to value it as freehold has valued an asset the vehicle does not hold, and every net asset value struck on that instruction was wrong, with the manager's share accrued on the error. The valuer's instruction names the term, the remaining years at the valuation date, the basis and the assumptions, and the report shows the term's effect on the number so that the committee can read it. As the years run, the value falls by the term's wasting even where the rents rise, and the report shows both movements.

Why the State opened on a term

The sixteen usufruct areas are opened on ninety-nine years rather than outright because the State wanted foreign capital and foreign residents in those districts without alienating the land permanently, and a usufruct of a lifetime gives the holder everything an owner has except the reversion. For a foreign individual buying a home the distinction rarely matters. For a platform buying to develop, hold and sell within a decade, the distinction is the structure: the platform is buying years, and it sells years, and the State keeps the land. A manager who understands why the term exists understands why the grantor's consent sits on every assignment and charge, because the grantor is the reversioner and the reversioner has an interest in who holds its land and how it is encumbered.

The nine freehold areas are the districts the State has decided to open permanently, and they are where a hold-and-let programme belongs, because there is no term to waste and no grantor at exit. A platform with both programmes reads the two kinds of area as two kinds of asset and assigns each programme to the area whose tenure fits it.

Sub-usufructs and the off-plan buyer

A residential scheme on a usufruct sells units to buyers who take sub-usufructs for the remaining term, or for a shorter one, and the buyers' own position is a term. Their lenders, where they borrow, read the term for the mortgage they will write; their own resale market is a market in remaining years; and the escrow regime's release profile, which governs the developer's cash flow, runs on sales that happen at the pace the term permits. A platform that models a residential usufruct scheme on freehold sales velocity has modelled a different asset, and the difference appears in the sales curve and the facility's tenor. The sub-usufruct structure is read with Qatari counsel for what the registry will record and what the buyers' lenders will accept.

The charge over a usufruct

A lender to a parcel company holding a usufruct takes security over the usufruct, and the grant governs whether and how it may be charged: the grantor's consent, the form of the charge the registry records against a usufruct, and the lender's position on forfeiture, which is the lender's largest risk because a forfeited usufruct is a charged asset that no longer exists. The lender's counsel reads the grant for the forfeiture triggers and negotiates a notice and cure right for the lender with the grantor, which is a step with the grantor's own clock. A facility signed before the grantor's consent to the charge is a facility without its security.

Where it surfaces

At the option, taken over a parcel outside the list.

At the valuation, struck as freehold on a usufruct.

At the facility, signed before the grantor's consent to the charge.

At the forfeiture clause, read after the programme slipped.

At the exit, when the purchaser prices years the model did not count and the grantor's consent has no date.

The cost of getting it wrong

A parcel outside the list costs the option price and the seed. A usufruct held as freehold costs every net asset value struck on it and the manager's share accrued on the error. A usufruct whose term ends before the exit costs the exit, because the purchaser prices years that are not there. A forfeiture clause unread costs the asset. The list, the three dates, the grant and the valuer's instruction cost a reading by Qatari counsel before the contract.

The onshore funds law, beside the list

Law No. 25 of 2002 on investment funds governs funds founded in the State. A fund investing in Qatari real estate needs the central bank's authorisation and the Minister's approval; non-Qataris may participate to a percentage the Minister sets; and founding a fund without authorisation is an offence carrying imprisonment, fines, liquidation and the return of subscriptions. A foreign platform holding Qatari land therefore does not usually form an onshore fund. It forms a Qatar Financial Centre professional investor fund under the 2022 rules, with a QFC fund manager or a State fund manager licensed onshore, holding parcels through companies in the named areas, and sits beside the onshore funds law rather than inside it. The Centre's rules govern the platform; the State's list governs what the parcel companies may hold; and the funds law is read for what the platform must not become, which is an arrangement the State reads as an onshore fund.

The 2019 law for the parcel companies

The foreign investment law of 2019 approves a foreign investor in a Qatari business, and the parcel companies, where they are onshore Qatari companies, are held under it: the approval, its conditions, the sectors it permits and the percentages. A parcel company's ownership by a Centre fund is a foreign investment in a Qatari company, and the two regimes, ownership of the company under the 2019 law and ownership of the land under the area list, are read together for each parcel. A company approved under the 2019 law in a permitted sector, holding a parcel in a named area, is the holder; a company in an unapproved sector or a parcel outside the areas fails one regime or the other.

The areas as a map

The twenty-five areas are not arbitrary. They are the State's map of where it wants foreign ownership: the districts built for it, the waterfront developments, the masterplanned zones, the districts where a foreign resident population is expected. The nine freehold areas are the districts most fully opened; the sixteen usufruct areas are the districts opened on a term. A platform that reads the list as a map reads the State's plans, and a platform that reads the State's plans reads where the list is likely to be extended and where it is not. The reading is Qatari counsel's and the firm's together, and it is a reading of intent as well as of law.

A timeline, as a type

Month one: the parcel is placed on the list; it is in a usufruct area; the grant is obtained and read. Month two: the three dates are computed with the operator and the programme; the parcel passes with a margin of two years; the grantor is approached for consent to the charge and for an extension option on terms. Month three: the Centre fund is formed with a State fund manager; the parcel company is approved under the 2019 law. Month four: the acquisition; the valuer instructed on the term. Year two: the facility, with the grantor's consent to the charge and a cure right for the lender. Year four: opening; the operator's agreement runs. Year nine: the exit process begins with the grantor's consent sought first; the purchaser's diligence on the remaining years; the assignment recorded with twenty-nine years remaining. Year ten: the vehicle distributes.

The structure paper's page

The structure paper's Qatar page carries: each parcel's place on the list and its tenure; the remaining term and the three-date arithmetic; the grant's consents, conditions, dates and forfeiture; the masterplan's regime where it applies; the Centre fund's form and manager; the parcel company's 2019 approval; the valuer's instruction on the term; the lender's position on the charge and forfeiture; and the exit test's steps with the grantor's and the master developer's consents. The page is what the purchaser at exit reads first, because the purchaser is buying years and wants to know how many.

The term and the register

The register reads the term before it subscribes, because a wasting asset's value profile differs from freehold's and the register's own accounting treats the two differently. A pension institution holding a usufruct through a fund sees the value waste in the fund's net asset value as the years run, even as rents rise, and its own actuaries read that. The memorandum describes the usufruct areas as what they are, the term's effect on value, the grantor's consents on exit and the three-date rule the platform applies, and a register that read it is not surprised in year six by a net asset value that falls while the scheme succeeds.

The extension option, negotiated at grant

A grantor will sometimes grant, at the outset, an option to extend the usufruct's term on conditions: a payment, a programme commitment, a stated use. The extension is worth more than anything else a platform can negotiate on a usufruct, because it converts the three-date arithmetic from a constraint into a margin, and it is worth most at grant, when the grantor is choosing its counterparty and least at exit, when the grantor is choosing its price. A platform that asks for the extension in the first meeting, with the programme and the operator in hand, obtains it on terms it can price; one that asks in year eight obtains it on the grantor's.

The masterplan's second regime, read closely

Where a usufruct area sits inside a masterplan, the master developer's regime is read as a second grant: the design code, the phasing plan and its dates, the use allocations, the master developer's consents to drawings, contractors and sales, the infrastructure delivery the master developer owes and its own timetable, the transfer restrictions and any right of first refusal or buy-back. The two regimes are read together and the stricter governs each point. A programme is built to the master developer's calendar as well as the grantor's, and the vehicle's term carries an extension for a calendar the platform does not hold.

Reading the list with the Kingdom's and Kuwait's

A regional land platform reads Qatar's areas beside the Kingdom's scope document and Kuwait's two permitted holders. The Kingdom lists persons and leaves areas to a scope document; Qatar lists areas and leaves persons to the definition of a non-Qatari; Kuwait lists holders and excludes a class of land. Three instruments, three methods, one question: may this vehicle hold this parcel, and for how long. The exposure statement carries the three answers, and a parcel whose answer is no in any state leaves the seed in that state.

The registry's recording of a usufruct

A usufruct is recorded at the State's real estate registry against the parcel, in the grantor's favour as reversioner and the holder's as usufructuary, and every assignment, sub-usufruct and charge is recorded the same way. The registry's practice decides what it will record: the form of the assignment, the grantor's consent as a document, the sub-usufruct's term within the head term, the charge's form. A platform's exit, its sales and its financing each end at the registry, and Qatari counsel reads the registry's practice for each before the instrument is drafted.

The operator and the term

A hospitality platform's operator signs a management agreement for a term, with renewal options, and the operator reads the usufruct's remaining years as closely as the platform does, because an operator does not build a brand on a site it will lose. The operator's term, its renewals and its termination rights are negotiated against the usufruct's remaining years and the exit the platform intends, and a purchaser at exit buys the operator's agreement with the usufruct. The three parties, grantor, operator and platform, hold three terms, and the structure paper lays them on one line so that the shortest is known.

A holding, as a type

A Centre professional investor fund, with a State fund manager, is formed for a hospitality platform. The first parcel is a waterfront usufruct in one of the sixteen areas with forty-one years to run, granted by a state body inside a masterplan. The operator's agreement is twenty years from opening; the development is four; the purchaser's expected hold is ten; the margin is five. Forty-one years exceeds four plus twenty plus ten plus five by two, and the parcel is bought. The grant is read for the assignment consent, the charge consent, the programme dates and the forfeiture; the master developer's consents are read as a second regime; the valuer is instructed on the term; the exit test names the grantor's consent as a step with no date and the master developer's as another. The vehicle's term is set at twelve years with two extensions, and the exit is an assignment of a usufruct with twenty-nine years remaining to a purchaser who takes the operator's agreement with fourteen years left, consented by the grantor and the master developer.

Four cases, as types

A platform buys a usufruct in one of the sixteen areas with forty years to run, for a residential scheme that takes five years to build and sell. The units are sold off-plan on sub-usufructs of the remaining term; buyers' lenders price the term, which is shorter than the mortgages they would otherwise write; the sales velocity the model assumed does not arrive, and the escrow regime's release profile lengthens the facility.

A platform assumes a parcel adjacent to one of the nine areas will be added to the list. It takes an option over it at a price. The list is not extended in the option's period; the option is an option over land a non-Qatari cannot hold; the price is lost and the seed with it.

A platform buys a usufruct inside a masterplan without reading the grant's forfeiture clause, which forfeits the usufruct if the programme's completion date is missed by more than a stated period. The master developer's calendar slips; the platform's programme slips with it; the completion date is missed; the grantor's forfeiture right is the platform's whole asset, and the negotiation is from nothing.

A platform reads the list first, takes freehold in one of the nine for its hold-and-let programme and a long usufruct in one of the sixteen only where the three dates fit with years to spare, reads the grant for every consent and the forfeiture, instructs the valuer on the term, and names the grantor's consent as a step with no date on the exit test, sought early. The exit completes with the consents in hand and the purchaser pricing years the model assumed.

What each party holds

The manager holds the placing of every parcel on the list, the three-date rule, the reading of the grant and the valuer's instruction.

Qatari counsel holds the list, the grant, the 2019 law for the company, the funds law for the platform and the registry's practice.

The grantor holds the consents, the conditions and the forfeiture.

The master developer, where the area is inside a masterplan, holds the second regime.

The valuer holds the term in the instruction.

The Centre fund manager, QFC or State, holds the platform's compliance with the Centre's rules.

The purchaser at exit holds the remaining years, which it prices.

The sequence

  1. Every Qatari parcel is placed on the list before anything else is read about it.
  2. The remaining term of every usufruct is read against the programme, the operator's agreement, the purchaser's hold and a margin, and the parcel is bought only where all fit.
  3. The grant is read for the consents, the conditions, the dates and the forfeiture; the masterplan's regime is read where it applies.
  4. The platform is formed in the Centre with a permitted manager, and the funds law is read for what it must not become.
  5. The parcel companies are approved under the 2019 law in permitted sectors.
  6. The valuer is instructed on the term; the exit test names the grantor's and the master developer's consents as steps.

Questions a manager asks

Can the list be relied on to widen. No. It is read as it stands, with a watching brief, and nothing is bought on the expectation of an extension.

Is a usufruct a bad asset. It is a wasting asset with a term, which is a different asset from freehold and a good one where the three dates fit; the error is valuing or holding it as if it were freehold.

Who grants the usufruct. The State or a state body, whose consent governs assignment and charge for the life of the holding.

Can a foreign platform form an onshore fund instead. It can, with the central bank's authorisation and the Minister's approval and the Minister's percentage on non-Qatari participation; most choose the Centre's form for the reasons the funds law gives.

What does the purchaser at exit buy. The remaining years, the operator's agreement, the grantor's consent to the assignment and the master developer's where it applies; the price reflects all four.

Does the 2019 law reach the parcel company. Where it is an onshore Qatari company, yes, for its ownership and its sector, beside the area list for its land.
