The structural work, published in full. Four artefacts state where structures break, in what order the steps bind, where the reading stops, and how fifteen recurring structural problems were actually worked. Two readings carry the centres. Seven positions carry the judgement, and each names the evidence that would overturn it. Thirteen entries stand in the register below.

Four artefacts

Four documents carry the structural work.

They are published in full, with no counterparty named in any of them, and each is checkable against the instruments it cites. That is the only kind of evidence a manager can test before appointing anyone.

01 · Fifteen constraints

Where structures break.

Fifteen places a private-markets structure breaks, in five groups of three. Each entry names the assumption underneath it, the instrument that creates the constraint, the stage at which it surfaces, what it costs to find it there, and the question that would have caught it first. Domicile, perimeter and classification are decided before the vehicle exists; valuation, oversight and exit are the three the exit discovers for you.

02 · Sixteen steps

The one-way doors.

Sixteen steps run between a mandate and a first drawdown, and the order is not a preference. Six of them cannot be taken a second time on different facts. Five more are reversible only at a price the plan did not carry, and five can be taken again for the cost of the work already done. The four steps before the vehicle exists are the cheapest place on the sequence to be wrong.

Five structural questions the published instruments do not settle. Each carries what the texts do and do not say, what turns on the answer, the position we take in the meantime, and what would close it.

04 · Five worked structures

Worked structures.

Five structural problems of a kind that recurs, each written out in the same six parts: the structural problem, the constraints and what created each of them, the architectures considered, the critical dependencies named against the party who owns each one, the architecture that survives, and the implementation framework. They are types rather than histories, and no manager, counterparty, adviser, asset, value, vintage or date appears in any of them.

Seven positions

Seven positions. Each names the evidence that would overturn it.

A position is a structural judgement rather than a reading, so it is kept in a separate state in the register. None of them is a view on an asset, a sector or a market. Each says something about how a transaction of a given shape has to be built, and each can be wrong.

Six on illiquid real assets

What the composition of a register does to the regime a vehicle is drawn under, where the exit specification is actually written, which items in a data-centre transaction are consents rather than tasks, the altitude at which a consent map has to be drawn, what a clearance sequence does to a condition precedent, and why an escrowed development and a rental platform are different regimes from the first day. One on what a structure cannot shorten

Drafting, modelling and assembly get faster. Three things in a transaction do not, and each of them sets a date the structure has to be built around. What cannot compress is the position on those three.

Thirteen entries. Five states, and they are the states that exist. A Read is what the published instruments say. A Sequence is the order in which the steps bind. A Worked is a recurring structural problem taken through to an implementation framework. A Position is a structural judgement of ours that can be wrong. An Open is a question the instruments do not settle.
