The Kingdom registers a foreign investor rather than licensing one.
Under the Investment Law of 1446H a foreign investor is registered on the same terms as a domestic one, subject to a list of excluded activities, and the registration is the fact every later document relies on.
The Kingdom's Investment Law of 1446H, Royal Decree M/19, replaced a licensing regime with a registration. Under the regime it replaced, a foreign investor applied for a licence, the authority exercised a discretion, the licence carried conditions and a term, and the renewal was an application again. Under the 1446H law a foreign investor registers, is treated on the same terms as a domestic investor, and is subject to a list of activities from which foreign investment is excluded. The change reads as a simplification, and it is one: the application, the discretion and the renewal are gone. It also moves the weight of the regime from the moment of entry to the conduct of the investment, because a registered investor is examined on what it does rather than on what it applied to do, and the registration is the fact on which every later document, the bank account, the real estate registration, the security, the sale, relies.
This note sets out what the registration is and how it is made, the excluded list and its perimeter, equal treatment and what it reaches, the exit the registration enables, what the registration does not do for the other three interface questions, the conduct obligations of a registered investor, the Companies Law beneath, the sectoral regulators beside, a comparison of the old and new regimes, a worked registration as a type, cases, what each party holds, the sequence, questions, terms and what to read.
What the registration is
A fact, recorded by the investment authority, that a named foreign person is an investor in the Kingdom carrying on stated activities through a stated entity. The registration identifies the investor and its ownership, the activities, the form of the entity and its capital, and it is made on an application that the law and its implementing rules prescribe, with the documents they require. It is not a discretion: an investor that meets the law's conditions and is not in an excluded activity is registered. It is kept current: a change of activity, of ownership above a threshold, of form or of name is notified.
The registration is the foreign investor's standing. The holding company's capacity to contract, to open accounts with Saudi banks, to employ, to hold real estate under the 2025 ownership law within its areas, to grant security, and to be sold to a foreign buyer at exit each reads back to the registration and to the activities it covers. A bank's onboarding reads it. The real estate registry reads it. A buyer's diligence reads it before the accounts.
The excluded list
The law empowers the executive to list activities from which foreign investment is excluded, and the list is the perimeter. Activities on it are closed to foreign investment whatever the structure, and a chain built to hold an excluded activity through a domestic nominee is a chain the law reads through, with the penalties the law provides. Activities off the list are open on the same terms as to a Saudi investor. The list is read before the seed is chosen, because an investment in an excluded activity is not a structuring question; it is a closed door, and a manager that has found an asset behind it has found an asset it cannot hold.
The list changes, in the direction the Kingdom's policy chooses, and the registration of an existing investor is read against the list as it stood at registration and as it stands on any change of activity.
Equal treatment
A registered investor is treated on the same terms as a domestic one, and the equality reaches the regimes that govern every investor. The Companies Law of 1443H governs the company's form, its capital, its governance and the mechanics the articles may carry. The Capital Market Authority governs any securities the company issues or holds. The sectoral regulators govern what they govern, for foreign and domestic alike. The zakat and income tax rules apply on their own terms to a foreign-owned company. The 2025 real estate law applies to the company as a non-Saudi owner within its own list. Equal treatment is equal subjection to the Kingdom's ordinary law, and a foreign investor that expected a separate regime finds it has the same one as everyone, with the excluded list and the real estate law's own distinctions as the exceptions.
The exit it enables
A foreign buyer of a registered holder is registered under the same law on the same terms, subject to the same exclusions, so a sale to a foreign buyer is a transfer between two registered persons rather than an application for a new permission. That is the structural gain, and it is large. In many onshore states the exit route that needs a fresh approval is the route that fails, because the approval is a discretion exercised on the buyer at the moment the seller most needs certainty. In the Kingdom, the buyer registers for itself, on conditions it can read in advance, and the sale completes on the registration and the registry's date.
The mechanics that deliver a minority holder with the majority, drag-along and tag-along rights, pre-emption, the treatment of a shareholder who will not sell, are the ones the Companies Law of 1443H lets the articles carry, in articles 108 and 113 among others, and the articles are drafted at formation with the exit in view. A sale of land beneath the holder carries the ten per cent disposition charge of the 2025 real estate law and closes on the real estate registry's date. A sale of the holder's shares is a transfer on the commercial register with the Companies Law's mechanics and the tax adviser's reading.
What the registration does not do
It does not settle the holder category for real estate. That is the 2025 ownership law's question, answered by the areas, the percentages, the usufruct durations and the registry, and a registered investor holds land only within them. Registration makes the investor a person who may be a non-Saudi owner; the 2025 law and its scope document decide what it may own and where.
It does not settle the placement of a fund's units in the Kingdom. That is the Capital Market Authority's question under the Investment Funds Regulations, answered by the distributor route, the notification and the glossary's categories, and a registered investor that is a fund's holding company is still a foreign fund for the regulations' purpose.
It does not settle security. That is the 2020 movables registry's question for movables and the real estate registry's and the execution court's for land, and a registered investor grants security under those regimes like any other person.
It does not settle tax, which the zakat and income tax rules answer for a foreign-owned company on their own terms, with the withholding on payments abroad and the treaty position of the holder above.
The interface has four questions, marketing in, holding into, security in and exit from, and registration answers the second of them, for the holding company's standing to exist and act. The other three are answered by their own instruments, and a manager who treated registration as the whole of the Kingdom's reading has read a quarter of it.
The conduct of a registered investor
A registered investor's obligations run for the life of the investment. It keeps the registration current on every change the rules require to be notified. It carries on only the activities registered, and registers new ones before carrying them on. It complies with the Companies Law's requirements on its form, its capital and its governance, the sectoral rules for its activities, the labour rules, the tax rules and the real estate law where it holds land. The authority may inspect, may require information and may, on a breach, impose the penalties the law provides, which reach the registration itself. An investor examined on its conduct is an investor whose file is current, and the structure paper carries the registration's conditions as a calendar.
Why the Kingdom moved from licence to registration
The licensing regime treated foreign investment as an exception to be permitted, case by case, on conditions, for a term. The 1446H law treats it as ordinary, subject to a perimeter. The change reflects a policy that wants foreign capital in the Kingdom's economy on the same footing as domestic capital, in the sectors it has opened, and that wants the administration of that capital to be by conduct rather than by permission. For a structure the consequence is that the Kingdom's entry question has become an answerable one: a manager can read the excluded list, read the conditions and know before the seed is chosen whether the holding company will be registered. The discretion that made the old licence a negotiation is gone, and with it the premium a structure paid for uncertainty at entry.
The move also changes where the Kingdom's attention falls. An investor is examined on what it does, and the examination is continuous: the registration's currency, the activities actually carried on, the company's compliance with the ordinary law. A manager that ran its Saudi holding company as a brass plate under the old regime, renewing a licence and doing nothing else, has under the new one a company whose conduct is the regime.
The ownership chain disclosed
The registration discloses the foreign investor's ownership chain to the individuals who ultimately own or control it, and the disclosure is kept current. A fund's holding company discloses the fund, the fund's manager and, to the extent the rules require, the fund's holders above a threshold. A change in the chain above the threshold is a notification. The disclosure is the Kingdom's provenance file for the investor, and it is read beside the bank's own provenance requirements and the real estate registry's. A manager whose fund has a feeder, a nominee or a sovereign with its own confidentiality expectations reads the disclosure rules before the structure is fixed, because a holder that will not be disclosed is a holder the registration cannot carry.
The real estate registration beside the investor's
A registered investor that holds land holds it under the 2025 law, and the real estate registration is a second registration with its own conditions: the area, the percentage, the usufruct duration, the mandatory recording in the real estate registry, and the accuracy of the information given, which the law's penalties police with a forced sale for misleading information. The two registrations are read together: the investor's standing to be a non-Saudi owner, and the land's position within the scope document. A company registered for logistics that buys a parcel outside the permitted area has a registration for one thing and a parcel it cannot own.
Where it surfaces
At the seed, when an asset's activity is on the excluded list and the chain was drawn before anyone read it.
At the bank's onboarding, when the registration's activities do not match the business plan.
At the real estate registry, when a registered investor presents a parcel outside the scope document's areas.
At the change of activity, unnotified, found at the bank's periodic review.
At the exit, when the articles carry no mechanics and the minority holder will not sell.
The cost of getting it wrong
An excluded activity costs the asset. An unregistered activity costs the regularisation and, where the authority acts, the penalties. A registration that does not match the business costs a frozen account. Articles without the mechanics cost the exit's timetable and the minority's price. Against those, Saudi counsel's reading of the excluded list, a complete registration for every activity, and articles drafted for the exit are the cheapest items in the Kingdom's reading.
The Companies Law beneath
The Companies Law of 1443H is the statute the holding company lives under, and its provisions on the limited liability company and the joint stock company, on capital, on the articles, on the board and the managers, on shareholders' rights, and on the mechanics of transfer are read at formation. The articles are drafted to carry the exit mechanics the law permits, because articles drafted as a standard form carry none of them, and a minority holder that will not sell in year six is a problem the articles should have solved in year one. The choice of form, limited liability company or joint stock, is made with the exit in view, because the two forms carry different mechanics and different registration and transfer procedures.
The sectoral regulators beside
Equal treatment subjects the foreign investor to the sectoral regulators that govern its activity: the real estate authority for real estate, the capital market authority for securities, the central bank for financial activity, the ministries for their sectors, and the municipal and planning authorities for development. Each has its own licences, approvals and inspections, and a registered investor carrying on a regulated activity holds the sectoral licence beside the registration. A chain that reads the registration and not the sector has read the investor's standing and not its activity's.

A timeline, as a type
Month one: the seed is identified; Saudi counsel reads the excluded list and the sectoral licences; the activity is open. Month two: the company is formed under the Companies Law with articles carrying the exit mechanics; the registration application is filed complete with the ownership chain. Month three: the registration; the bank account opened on it; the real estate registration prepared within the scope document's area. Month four: the acquisition, recorded at the real estate registry; the lender's security perfected. Year two: a new activity; notified and registered before it begins. Year four: a change in the fund's chain above the threshold; notified. Year six: exit; the buyer registers under the 1446H law; the articles' mechanics deliver the minority; the parcel's disposition charge is paid; the registry's date completes the sale.
The structure paper's page
The structure paper's Kingdom holding page carries: the excluded list as read for the seed; the company's form and the articles' exit mechanics; the registration, its activities and its ownership disclosure; the calendar of notifications; the sectoral licences; the 2025 law's area, percentage and duration for any land; the registry's recording; and the exit's steps with the buyer's own registration. The page is a fifth of the Kingdom's reading, beside the marketing, security and exit pages and the category page for land, and it is the page the bank and the buyer read first.
Reading the registration with the lender
A lender to a registered holding company reads the registration for the company's standing to grant security and for the activities the lender is financing, and reads the Companies Law for the board's authority. Security over the company's shares and movables is perfected in the 2020 movables registry and enforced on its route; security over land at the real estate registry and through the execution court. A lender that has read the registration knows the borrower is a person the Kingdom recognises; a lender that has not has a borrower whose standing it is assuming, and Saudi lenders do not assume.
The form of the company and the exit
The Companies Law offers the limited liability company and the joint stock company, and the choice shapes the exit. A limited liability company's shares transfer by amendment of its articles and the commercial register, with the pre-emption the law gives the other partners unless the articles vary it, and the articles may carry the drag and the tag. A joint stock company's shares transfer by entry in its register, with the mechanics the law permits for that form and the possibility of an admission to trading where the public exit is contemplated. A holding company formed for a single asset with one foreign shareholder is usually a limited liability company; one formed for a platform with several holders and a public exit in view may be a joint stock company from the start, because converting later is a transaction with its own consents.
The registration and the successor fund
A successor fund's holding company is registered anew, on its own application, for its own activities, with its own ownership chain, and the predecessor's registration reaches it not at all. A manager that assumes the second registration is a formality because the first was granted has assumed; the second is read against the excluded list as it stands, which may have changed, and against the successor's activities, which may differ.
The registration and the register's own diligence
An institutional holder's counsel asks, before the holder subscribes, whether the fund's Saudi holding company is registered and for what, because the holder's own regime may require it to know that its money sits in a vehicle the host state recognises. A manager that can produce the registration, its activities and its currency answers in a day; one whose Saudi company was formed on an assumption about the old licence answers with an application.
A registration, as a type
A fund seated in a centre forms a Saudi limited liability company to hold a logistics parcel and the operating business on it. Before the seed is fixed, Saudi counsel reads the excluded list: logistics and the operating activity are open. The company is registered under the 1446H law for those activities, with the fund's ownership chain disclosed to the individuals who control it. The articles carry the drag, the tag and the pre-emption the Companies Law permits, drafted with the exit in view. The company holds the parcel under the 2025 law within the scope document's area and percentage, registered at the real estate registry. The lender's security is perfected in the movables registry over the shares and receivables and at the real estate registry over the parcel. At exit, a foreign trade buyer registers under the 1446H law on the same terms, the shares transfer on the commercial register with the articles' mechanics delivering the minority, the parcel's disposition charge is priced, and the registry's date is the completion.
Four cases, as types
A fund registers a holding company for a permitted activity and then, through it, takes a stake in a business whose activity is on the excluded list. The registration does not cover it; the stake is an investment the foreign holder may not hold; the buyer at exit finds it first, and the stake is divested to a Saudi buyer at the buyer's price before the exit can complete.
A fund plans an exit to a foreign trade buyer and assumes an approval process of a year, on the experience of another state, building the delay into its term. The buyer registers under the 1446H law on the same terms; the process is the registration and the registry's date; the exit is faster than the model, and the fund's term was a year longer than it needed to be.
A fund registers, contracts for land within the scope document's areas, perfects its lender's security in the movables registry and at the real estate registry, drafts its articles with the exit mechanics, and sells the holder to a registered foreign buyer with the disposition charge priced. Each of the four questions was answered by the instrument that answers it, and the exit completed on the registry's date.
A fund's holding company changes its activity in year three without notifying the authority, and the registration describes a company that no longer exists in that form. The bank's periodic review finds the mismatch and freezes the account pending regularisation; the regularisation is a notification that should have been made in year three.
What each party holds
The manager holds the registration for every activity the investment will carry on, the decision to read the excluded list before the seed, the articles drafted for the exit, and the calendar of the registration's conditions.
Saudi counsel holds the reading of the law, the excluded list, the Companies Law's mechanics and the sectoral licences.
The investment authority holds the registration, its currency and the examination of conduct.
The real estate registry, the movables registry and the execution court hold their own questions.
The Capital Market Authority holds the placement question.
The buyer at exit holds its own registration, which it makes for itself.
The sequence
- The excluded list is read before the seed is chosen, and an asset in an excluded activity is not pursued.
- The holding company is formed under the Companies Law in the form the exit requires, with articles carrying the exit mechanics.
- The company is registered under the 1446H law for every activity the investment will carry on, with the ownership chain disclosed.
- The other three interface questions are answered by their own instruments: the 2025 law for land, the distributor route for any placement, the registries for security.
- The registration's conditions and the sectoral licences are kept current on a calendar.
- The exit is designed to the buyer's own registration and the Companies Law's mechanics.
Questions a manager asks
Is registration automatic. It is not a discretion; an investor that meets the conditions and is outside the excluded list is registered on a complete application, which takes the time the authority's process takes.
Does registration let the company hold land anywhere. No. The 2025 law and its scope document decide where, at what percentage and for what usufruct duration; registration is the investor's standing, not its category for land.
Can a registered company place a fund's units in the Kingdom. No. The distributor route under the Investment Funds Regulations governs any offer of a foreign fund's securities, registered holding company or not.
What if the activity changes. The change is notified and the registration amended before the new activity is carried on; an unregistered activity is a breach.
Is the exit really that simple. The buyer's registration is on the same terms; the articles' mechanics deliver the minority; the land's disposition charge is priced; the registry's date completes it. The simplicity is in the absence of a discretion at the moment of sale.
Does equal treatment mean equal tax. It means the same tax rules as apply to a foreign-owned company under the zakat and income tax regime, which are their own rules, with the treaty position of the holder above read by the adviser.
Terms used
Registration: the investment authority's record of a foreign investor, its entity and its activities under the 1446H law.
Excluded list: the activities from which foreign investment is excluded, read before the seed.
Equal treatment: the same terms as a domestic investor, which is the same ordinary law.
Articles' mechanics: the drag, tag, pre-emption and related provisions the Companies Law of 1443H lets the articles carry.
The four questions: marketing in, holding into, security in, exit from; registration answers the second.
Disposition charge: the 2025 law's charge on a non-Saudi owner's disposition of real estate.
