In Qatar the forum clause is the term that prices every other one.
A lender to a Qatari asset may end up before the State's courts or the Centre's, and which one is decided by a clause drafted early and read only at enforcement.
Qatar runs two court systems. The State's courts apply the State's law, in Arabic, under the civil and commercial procedure codes, on the timetable those codes produce. The Qatar Financial Centre's court applies the Centre's law to disputes within its jurisdiction, in English, under its own rules of procedure, with a published record and a bench drawn from several jurisdictions. A contract can choose between them, within the limits each system sets for what it will hear, and the choice is the forum clause. Lenders' counsel read the clause first, because the court it names is the court that will hear the lender's claim on the facility, and the court decides the time from default to judgment, the cost of proceeding, the evidential rules, the language and the certainty of execution. Every other term in the facility is priced on the answer, and the answer is given by a clause that was drafted in an afternoon and read, for the first time with attention, on the day of default.
This note sets out the two systems and what each hears, what the forum clause decides and what it does not, the separation between the facility and the security over the asset, the grantor's and the registry's positions that no clause reaches, execution of a Centre judgment in the State, the arbitration alternative, how the lender prices the forum, the borrower's interest in the clause, a comparison, a worked facility as a type, cases, what each party holds, the sequence, questions, terms and what to read.
The two systems
The State's courts are the ordinary courts of Qatar: courts of first instance, appeal and cassation, applying the State's civil, commercial and procedural law, sitting in Arabic, with evidence and pleadings in Arabic or translated, and with timetables set by the procedural codes and the courts' own lists. They have jurisdiction over persons and assets in the State, and over contracts the parties have not validly taken elsewhere. Their judgments are executed by the State's execution machinery against assets in the State.
The Centre's court is the court of the Qatar Financial Centre, created by the Centre's law with a civil and commercial division of first instance and an appellate division, applying the Centre's own law and, where the parties choose, other laws, in English, under rules of procedure modelled on those of common-law commercial courts, with published judgments. Its jurisdiction is defined by the Centre's law: disputes involving Centre entities, disputes arising from Centre transactions, and disputes the parties have agreed to bring to it within the limits the law permits. Its judgments are executed in the State through the arrangements the Centre's law and the State's authorities have made, which Qatari counsel reads for their current operation.
What the forum clause decides
The forum clause decides which court hears a claim on the contract that contains it: the facility, the intercreditor, the shareholders' agreement, the joint venture. A facility governed by the Centre's law with a forum clause for the Centre's court is heard there, on its procedure, in English, with a judgment the Centre's court publishes. A facility with a State forum is heard in the State's courts, on the State's procedure, in Arabic. The clause also decides, in practice, the time: the Centre's court's timetable is one a lender's counsel can estimate from its record, and the State's courts' is one Qatari counsel estimates from experience. A clause that is valid under both systems' rules on jurisdiction is a clause that holds; one that purports to take to the Centre a dispute the Centre's law does not let it hear is a clause the Centre's court declines, and the parties are in the State's courts by default.
What the forum clause does not decide
Security over a Qatari asset, a mortgage over land or a usufruct, a pledge of shares in a State company, a charge over a State bank account, is perfected in the State's registries and enforced under the State's law regardless of what the facility says, because the asset and the registry are the State's. A Centre judgment on the facility establishes the debt; the enforcement over the asset runs through the State's registries and the State's execution machinery, with the State's procedures for the sale of real property and the State's rules on who may buy. The forum clause governs the claim; the asset's state governs the collateral; and a lender that reads the clause as governing the collateral has read a clause that reaches half its package.
The grantor and the registry
A usufruct from the State or a state body carries the grantor's consent on any charge and any assignment, and no forum clause reaches the grantor, who is a party to the grant and not to the facility. A lender's enforcement over a usufruct needs the grantor's consent to the assignment to the buyer, obtained under the grant's terms on the grantor's clock, and a Centre judgment against the borrower does not bind the grantor. The registry's practice for recording a charge over a usufruct, and for recording an enforcement sale, is the State's, and Qatari counsel reads it. A facility in the Centre's forum with security over a State usufruct has three regimes: the Centre's court for the debt, the State's registry for the charge and the grantor's consent for the exit.
Why Qatar has two systems
The Centre was created as a financial free zone with its own legal system so that financial firms could contract and litigate under a law and a court of the kind their counterparties elsewhere knew, without displacing the State's own courts for the State's own affairs. The two systems therefore divide by subject and by party rather than by territory: a dispute between Centre entities on a Centre transaction is the Centre's; a dispute over land in the State, or between State persons on a State contract, is the State's. The Centre's law defines the boundary and the Centre's court polices it, declining what is not its own. A lender that understands the boundary drafts its facility to fall inside it and its security to fall outside, because the security is about an asset in the State and the State's courts and registries are the only ones that reach it.
The same division exists in the other centres in the region, and a lender that has worked in one reads Qatar's with the same instinct and different detail: the Centre's jurisdictional provisions, its execution arrangements and its record are its own.
The Centre's jurisdiction, read closely
The Centre's law gives its court jurisdiction over civil and commercial disputes involving the Centre's authorities, the Centre's registered entities, and contracts or transactions within or connected to the Centre, and lets parties agree to its jurisdiction in circumstances the law specifies. Whether a facility to a Qatari parcel company beneath a Centre fund falls within that jurisdiction depends on the parties and the transaction: a borrower that is a Centre entity, a lender that is one, or a transaction the law treats as a Centre transaction brings the facility in; a facility between two State persons on a State asset may not be brought in by agreement alone. Counsel in the Centre and in the State confirm the position for the particular facility before the clause is drafted, because a clause the court declines is the most expensive clause in the document.
The State's courts, read closely
The State's courts are not to be avoided but understood. Their procedure is the State's, their language Arabic, their evidential rules the civil law's, their timetable the one their lists produce, and their judgments are executed by machinery that reaches every asset in the State directly. A lender whose security is over State assets is in the State's system for enforcement whatever its facility says, and a lender that reads the State's procedure for the enforcement steps, the sale of real property, the registry's recording of the buyer and the time, has read the half of its route that the forum clause cannot move. Qatari counsel's estimate of the State's timetable is the number the lender's pricing carries for the collateral.
Where it surfaces
At the clause, when the Centre's court declines jurisdiction over a dispute the parties thought they had given it.
At the registry, when a Centre-law charge is presented and the registry records only State-law instruments.
At the grantor, when the enforcement assignment is presented without the consent the grant requires.
At execution, when the Centre judgment's enforcement in the State takes the time nobody added.
At the arbitration, when the joint venture's tribunal and the facility's court reach different conclusions about the same default.
The cost of getting it wrong
A forum clause the court declines costs the lender the State's courts' timetable and the uncertainty its pricing did not carry. A security document in the wrong law costs perfection. A grantor's consent not obtained costs the enforcement over the usufruct. An execution step not read costs the months it takes. Each is avoided by separating the facility's forum from the security's law, obtaining the grantor's consent under the grant and reading the execution arrangements, which Qatari and Centre counsel do in a fortnight.
Execution of a Centre judgment
A judgment of the Centre's court is executed in the State through the arrangements the Centre's law and the State's courts have established, by which the State's execution machinery gives effect to it against assets in the State. The arrangements have been used and their operation has a record, which Qatari counsel reads for the current practice, the documents required, the translation and the time. A lender that chose the Centre's forum for its speed adds the execution step's time to its estimate, and a lender that did not read the arrangements has a judgment it cannot yet enforce.
The arbitration alternative
Parties may choose arbitration in place of either court, seated in Qatar or elsewhere, and an award is enforced in the State under the State's arbitration law and the conventions Qatar has joined. Arbitration offers a forum the parties choose, a procedure they agree and a tribunal they appoint, at a cost and a time the arbitration's own rules produce, and an award's enforcement in the State is a court process with its own timetable. Lenders prefer courts for facilities, because a court's summary procedures for a debt claim are faster than an arbitration's full hearing; arbitration is more common in shareholders' agreements, joint ventures and development agreements, where the dispute is about conduct rather than a sum. A structure often has both: the facility in the Centre's court and the joint venture in arbitration, with the intercreditor and the security documents drafted so that the two do not collide.
How the lender prices the forum
The lender's counsel reads the forum clause first and prices the facility on the court it names: the time from default to judgment, the cost of proceeding, the certainty of enforcement against the asset through the State's machinery, the language and the evidence, and the risk that the chosen forum will decline jurisdiction over some part of the dispute. A forum clause that names a court which cannot reach the collateral, or whose jurisdiction over the claim is doubtful, is a clause the lender prices as if there were no clause. A clause that names the Centre's court for the debt, with the security documents in the State's law and the execution arrangements read, is a clause the lender prices as certain, and the margin reflects it.
The borrower's interest
A borrower that wants a cheaper facility wants the lender's counsel to find certainty in the forum, and a borrower that wants its own disputes with the lender heard in a court whose record it can read wants the same. The Centre's forum serves both where the Centre's jurisdiction reaches the dispute. The borrower's own counsel also reads the clause for the borrower's position as defendant: the procedure, the language, the costs rules and the time, because a borrower sued in a forum it did not understand is a borrower at a disadvantage it agreed to at signing.

A timeline, as a type
Month one: the term sheet; Centre and Qatari counsel confirm the Centre's jurisdiction for the facility and the intercreditor, and the State's law for the security. Month two: the facility drafted in the Centre's law with the forum clause; the charge over the usufruct drafted in the State's law; the grantor approached for consent to the charge and to an enforcement assignment to a permitted buyer. Month three: the grantor's consent obtained under the grant; the charge recorded at the State's registry with the consent beside it; the share pledge recorded in the commercial registry; the execution arrangements read; the facility signed; the drawdown. Year three: the joint venture dispute goes to arbitration on the development agreement; the facility is unaffected because the two were drafted not to collide. Year five: default; the debt is established in the Centre's court; executed in the State through the arrangements; the usufruct assigned to a permitted buyer with the grantor's consent; the shares sold to a buyer the 2019 law permits.
The structure paper's page
The structure paper's Qatar security page carries: the forum clause and the jurisdiction confirmation; the law of each security document and the registry it is perfected in; the grantor's consents obtained and recorded; the execution arrangements' current operation and time; the enforcement memorandum's steps for the debt, the execution and each asset; the arbitration clause in the joint venture and its non-collision with the facility; and the buyer class at each enforcement sale under the area list and the 2019 law. The page is priced by the lender and read by the platform's committee for what a default costs.
The other centres' parallel
The same separation governs financings in the other two centres of the region, each with its own court, its own jurisdictional provisions and its own execution arrangements with the onshore courts. A lender that has financed an asset in one of them reads Qatar's Centre with the same method: the facility inside the Centre's jurisdiction, the security in the State's law, the execution arrangements read, the grantor's consent obtained. The detail differs at every step, and the detail is what Qatari counsel supplies.
The intercreditor's forum
Where the facility is in the Centre's forum and the asset-level security is in the State's law, the intercreditor between the asset lender and any fund-level lender is drafted in the Centre's law and forum with the facility, because it governs the lenders' relationship rather than the asset, and its disputes are between regulated lenders about ranking and consents. Its provisions on enforcement sequencing name the State's process for the collateral and the Centre's court for the debt, so that an enforcement by one lender under one system does not trigger a claim by the other under the other without the intercreditor having said what happens. A structure with a Centre facility, a State security and no intercreditor forum has three systems and no map.
The borrower's own disputes
A borrower's disputes with its lender are not only about repayment. A disputed valuation under a covenant, a disputed consent under the change-of-control clause, a disputed drawdown condition: each is a claim under the facility, heard in the facility's forum. A borrower that chose the Centre's forum has those disputes heard on a procedure it can read and a record it can study; one in the State's courts has them heard on the State's procedure. The borrower's interest in the forum is as real as the lender's, and a borrower's counsel that reads the clause only for the lender's enforcement has read half the clause.
Reading the clause with the register
The fund's register reads the forum page for what a default at a Qatari asset costs the fund and how long the lender's process takes, because a lender's enforcement is the register's worst case. A page that shows the debt in the Centre's court on a stated timetable, the execution through read arrangements, and the collateral through the State's process with the grantor's consent obtained, is a page the register can read in a paragraph. One that shows a foreign forum, an unperfected charge and a grantor never asked is a page the register's counsel reads as a facility whose worst case nobody has stated.
A facility, as a type
A lender finances a Qatari parcel company holding a usufruct in one of the sixteen areas beneath a Centre professional investor fund. The facility and the intercreditor are governed by the Centre's law with a forum clause for the Centre's court, within the Centre's jurisdiction because the borrower is a Centre-connected entity and the transaction is a Centre transaction on the Centre's law's terms, which Qatari counsel confirms. The charge over the usufruct is in the State's law, recorded at the State's registry against the parcel with the grantor's consent obtained under the grant and recorded beside it. The charge over the parcel company's shares is in the State's commercial registry where the company's form permits. The development agreement with the developer provides for arbitration seated in Qatar. The lender's enforcement memorandum sets out: the debt claim in the Centre's court on its timetable; execution of the judgment in the State through the arrangements; the enforcement over the usufruct under the State's law with the grantor's consent to the assignment to a permitted buyer; and the sale of the shares to a buyer the 2019 law permits. The facility is priced on that memorandum.
Four cases, as types
A lender's facility to a Qatari asset company chooses the law and forum of the lender's home jurisdiction. On default the lender obtains a judgment at home and finds that its recognition in the State is a separate process with its own conditions and time, and that the security over the parcel was never perfected at the State's registry because the lender's counsel at home did not know there was one.
A lender's facility chooses the Centre's court for a borrower and a transaction the Centre's jurisdiction does not reach on the facts. The Centre's court declines; the lender is in the State's courts, in Arabic, on a timetable its pricing did not assume.
A lender's facility is in the Centre's forum and its charge over a usufruct is recorded at the State's registry, but the grantor's consent to the charge was never obtained. On enforcement the grantor declines to recognise the assignment to the lender's buyer, and the charge is an entry the grant overrides.
A lender separates the two: the facility and the intercreditor in the Centre's law and forum within the Centre's jurisdiction, the security in the State's law perfected in the State's registries with the grantor's consent recorded, and the execution arrangements read. On default the debt is established in the Centre's court on its timetable, executed in the State through the arrangements, and the usufruct is assigned to a permitted buyer with the grantor's consent obtained under the grant's terms.
What each party holds
The lender holds the forum clause, the enforcement memorandum and the pricing on it.
Qatari counsel holds the two systems' jurisdictions, the State's registries and their practice, the grantor's consent under the grant, and the execution arrangements' current operation.
Centre counsel holds the Centre's law and the Centre's court's jurisdiction and procedure.
The grantor holds its consents under the grant, which no clause reaches.
The borrower holds its own position as defendant in the chosen forum.
The developer, under a joint venture, holds its arbitration clause.
The sequence
- The forum for the facility and the intercreditor is chosen with the Centre's jurisdiction confirmed for the parties and the transaction, or the State's courts accepted with their procedure read.
- The security over State assets is drafted in the State's law and perfected in the State's registries, whatever the facility's forum.
- The grantor's consent to any charge over a usufruct and to the enforcement assignment is obtained under the grant and recorded.
- The execution arrangements for a Centre judgment in the State are read for their current operation and time.
- The enforcement memorandum sets out the debt claim, the execution and the enforcement over each asset as separate steps with their own timetables.
- Any arbitration clause in the joint venture is drafted so as not to collide with the facility's forum or the security.
Questions a manager asks
Can the facility simply choose the Centre's court. Where the Centre's law gives the court jurisdiction over the parties and the transaction, which Qatari and Centre counsel confirm; otherwise the clause is declined and the State's courts hear it.
Does a Centre judgment reach the parcel. It establishes the debt; the parcel is reached through the State's registry and execution machinery under the State's law, by the arrangements for executing Centre judgments.
What about the grantor. The grantor is bound by the grant and not by the facility; its consent is obtained under the grant's terms on its own clock, for the charge and for the exit.
Is arbitration better for the facility. Rarely; a court's summary procedure for a debt is faster. Arbitration suits the joint venture's conduct disputes.
How long does each route take. The Centre's court's timetable is estimated from its record; the State's from Qatari counsel's experience; the execution and the registry's steps are added to either.
What does the lender price if the clause is doubtful. The facility as if there were no clause, which is the State's courts' timetable and the uncertainty of jurisdiction.
That separation between the facility's forum and the security's law is drawn at the term sheet, by counsel in the Centre and in the State together, because a lender who finds it missing at enforcement has found it too late, and a borrower whose facility was priced on a doubtful clause has paid for the doubt for the life of the loan.
