The landowner who contributes is tested under the tier like any other holder.
A platform may admit only the persons its tier permits, and a family or a company contributing land is classified, recorded and capped like a cash subscriber, or it holds through a vehicle that can be.
A platform is registered in a centre under a tier, and the tier fixes who may hold it: professional investors by a test of assets or experience, institutions by a list, a capped number of holders, a minimum subscription. A landowner who contributes a parcel for units becomes a holder, and the tier applies to it as it applies to the pension institution that subscribed cash: the landowner is classified under the tier's test, counted against the cap, measured against the minimum and recorded in the manager's classification file. Landowners are not usually institutions. They are families holding land through individuals, family companies, estates whose heirs have not divided, trusts, foundations, and sometimes state bodies, and each is a different person under the tier's test. A family holding land through individuals may fail the test individual by individual and pass it as an undertaking. A family company with net assets above the threshold passes where its members would not. A state body passes as an institution. A trust passes or fails on its trustee. The structure reads the owner's standing before the contribution is agreed, because an owner who fails the test cannot be issued units, and the seed has to be restructured.
This note sets out what the tier is and why it reaches the landowner, the tests and how each kind of owner meets them, the count and the cap, the minimum subscription in kind, the classification record and its reader, the restructuring where the owner fails, the owner's own advisers and the dispute avoided, the marketing rules and the owner as an offeree, the provenance file for a landowner, the onshore interface, the lender's reading, a comparison, a worked contribution as a type, cases, what each party holds, the sequence, questions, terms and what to read.
What the tier is
The centre's regime registers funds by tier: a public tier open to anyone with the heaviest rules; a professional or qualified tier for investors who meet a test, with lighter rules; an exempt or private tier for a small number of sophisticated holders with the lightest. Each tier's rules on who may hold are the regime's condition for the lighter rules, and a fund that admits a holder the tier does not permit has breached the condition: the regulator treats the fund as marketed to a person outside its tier, the manager's conduct is in question, and in some regimes the subscription is voidable at the holder's instance. The tier is the register's boundary, and the landowner who contributes crosses it.
Why it reaches the landowner
A contribution is a subscription in kind: the landowner gives a parcel and receives units, and the units are the fund's units issued to a holder. The regime does not distinguish subscriptions by what was paid, and a holder admitted by contribution is a holder admitted. The manager's obligation to classify, record, count and measure applies to the landowner at the contribution as it applied to the cash subscribers at the first close, and a manager that admitted the landowner because the parcel was the platform's reason has admitted a holder without the test. The contribution agreement's conditions include the tier's, because the contribution cannot complete without them.
The tests and each kind of owner
The professional test is usually net assets above a threshold, or a stated experience in investments, or both, with a written confirmation and evidence; the institutional list names regulated entities, state bodies and large undertakings by size. An individual landowner passes on its own net assets, which the parcel may make large, or on its experience, which it may lack; a family holding through several individuals is several tests, and the members who hold small shares may fail. A family company passes as an undertaking on its net assets or its size, where its members would not. A trust passes or fails on its trustee's standing and the trust's assets as the regime's rules treat them. A foundation passes on its own standing where the regime recognises the form. A state body passes as an institution. An estate with undivided heirs is the heirs, individually, until it is a vehicle. Counsel reads the tier's test against each kind of owner before the contribution is discussed in terms.
Why the landowner is missed
The landowner is missed because the platform was designed for a register of institutions and the landowner arrived as a parcel. The manager's attention at the contribution is on the parcel's title, its valuation, its consents and its programme, and the owner is the parcel's seller in the manager's mind until the units are issued, at which moment the owner is a holder the tier never met. The cash subscribers were classified at the first close by the administrator's subscription process; the landowner comes through the acquisition process, which has no classification step unless the structure put one there. The step is put there by the contribution agreement's conditions and the admission policy, and a platform that expects contributions designs its acquisition process as an admission process too.
The professional test's confirmation
The professional test, in most regimes, requires the holder's written confirmation that it meets the criteria and understands the consequences: lighter protection, less disclosure, the tier's rules in place of the public tier's. The confirmation is a document the holder signs and the manager relies on, and a landowner that signs it without advice has signed a waiver of protections it did not know it had. The regime's answer to a later dispute is the confirmation's evidence and the manager's reasonable reliance, and a manager that obtained the confirmation with the owner's advisers present has the reliance; one that obtained it at the signing of the contribution agreement, as one of many pages, has a confirmation the owner will say it did not read.
The family's internal arrangements
A family that contributes through a company has a company whose shareholders are the family, and the family's internal arrangements on the company's governance, on who votes its units, on how its distributions are shared and on what happens when a member wants out are the family's own and not the platform's. The platform deals with the company as one holder, and the company's representative on the committee is the family's choice. A family without internal arrangements is a company whose instructions to the platform may be disputed among its members, and the platform's counsel asks for a resolution of the company's board and a shareholders' agreement in summary, so that the holder the platform admitted is a holder that can act.
The count and the cap
The tier caps the number of holders, and the landowner counts: one family company is one holder, a family holding through six members is six, an estate with nine heirs registered individually is nine. A platform with a cap of a stated number and a register of institutions near it admits a family of six and breaches the cap, and the cap is the tier's condition. The owner's form is read against the cap before the contribution, and a family that would breach it contributes through a vehicle that is one holder.
The minimum subscription in kind
The tier fixes a minimum subscription, and a contribution in kind meets it on the parcel's contribution value or does not. A family contributing through six members has six subscriptions, each a sixth of the parcel, and each is measured against the minimum; a small parcel divided six ways may fall below it for each. The minimum is met per holder, and a contribution that divides a parcel among holders divides its value against the minimum for each. The contribution agreement's conditions include the minimum per holder, and the vehicle that holds for the family is one subscription at the parcel's value.
The contribution class and the tier
The contribution class, with its lock-up and its distribution position, is a class of units in the same fund, and the tier's rules apply to its holders as to the others: the class does not create a different tier, and a landowner in the contribution class is classified under the same test as a cash holder in the main class. A platform that treats the contribution class as a place for holders the tier would not otherwise admit has misread the class, which is an economic and informational term and not a regulatory one. The class's terms are read by the regulator as terms of the fund, and its holders are read as holders.
The classification record
The manager records each holder's classification as the regime requires: the tier's criteria, the evidence for each, the holder's written confirmation, the date, and the manager's determination. A regulator reviewing the register finds the landowner and asks for the record, and a record that shows a contribution admitted on the parcel's merits and not the holder's standing is a breach found. The record for a family company carries its accounts; for an individual, its net asset statement and its confirmation; for a trust, the trustee's standing; for a state body, its constitution. The record is made before the contribution completes and refreshed as the regime requires.
The restructuring where the owner fails
An owner who fails the test cannot be issued units, and the platform does not lose the parcel; it changes the structure. A sale for deferred consideration: the platform buys the parcel and pays over time, with the owner a creditor rather than a holder, which the statement's exit and the lender's reading must accept. A holding through a vehicle that passes: the family forms a company with the parcel and its other assets, and the company passes as an undertaking and contributes, or the family's existing company does. A joint venture beneath the platform rather than a holding in it: the owner keeps a share of a parcel company with the platform as the other shareholder, under the developer room's control matrix and buy-out, and is never a holder in the platform. Each restructuring answers the tier, and each changes the owner's position, its liquidity and its governance, and the owner's advisers read which.
The owner's advisers and the dispute avoided
The owner's advisers see the classification, the tier's consequences and the restructuring options before the owner signs, because a classification the owner disputes later is a contribution the owner disputes later. An owner classified as professional on a confirmation it did not understand, who later suffers a loss on its units, has a claim that it was outside the tier and should not have been admitted, and in regimes where the subscription is voidable at the holder's instance the claim is the contribution unwound. The classification conversation is the land door's early test of the owner's understanding, and it is had before the terms.
The marketing rules and the owner as an offeree
The landowner is offered units, and the offer is marketing under the centre's rules and, where the owner is resident in a state, under the state's rules on offers to its residents. The approach to the landowner about contributing is an approach about the fund, by the manager or its licensed person, within the routes the state permits for the owner's class. A landowner who is an individual resident in a state with strict rules on offers to individuals is an offeree the state's rules reach, and the conversation about contributing for units is a regulated conversation from its first sentence. The land door's relationships are conducted with the marketing rules in view, and the licensed person in the state is in the room when the units are discussed.
The provenance file for a landowner
The landowner's file is built as any holder's: identity, owners to the natural persons, origin of the parcel's acquisition as the origin of the subscription's value, standing against the lists, and politically exposed status, which among landowning families in the region is common and handled by enhanced review. The parcel's provenance, its chain of title and the origin of the owner's acquisition, is the seller-side file that the onshore bank and the purchaser at exit will read. A landowner unwilling to build the file is a landowner the platform cannot admit, and the conversation about the file is had with the classification conversation.
The onshore interface
The contribution transfers the parcel onshore to the platform's vehicle, and the onshore regime's rules on who may transfer, the foreign ownership approval for the vehicle, the registry's record and the transfer duty apply; the state's marketing rules apply to the offer of units to a resident owner; and the state's own rules on residents holding foreign funds apply to the owner as a holder. An owner resident in a state that restricts its residents' holding of foreign-registered funds is an owner whose units may need the state's approval or a structure the state permits, and counsel in the state writes the column for the owner as a holder as well as for the parcel as a transfer.
The lender's reading
A capital-call lender counts the landowner's commitment in its base only if the landowner is a holder properly admitted with a commitment the lender can enforce, and a contribution in kind is a commitment already funded, which the lender counts as contributed capital rather than undrawn. A lender reads the classification record for the landowner's admission, because a holder outside the tier is a subscription at risk, and the lender's representation from the manager covers every holder's classification.

A contribution, as a type
A family owning a masterplanned parcel through four members agrees in principle to contribute it to a platform registered in a centre under a professional tier with a holder cap and a minimum subscription. Counsel reads the tier against the family: two members pass on net assets, two do not, the four would count four against a cap the register is near, and the parcel divided four ways falls below the minimum for each. The family forms a company, transfers the parcel and other assets to it, and the company passes as an undertaking, counts as one holder and meets the minimum at the parcel's value. The family's advisers read the classification, the tier's consequences and the company's position before signing. The approach was conducted under the state's marketing rules with the licensed person present when units were discussed, and the company's provenance file is built to the onshore bank's standard with enhanced review for one member's public office. The classification record carries the company's accounts and confirmation. The contribution completes, the company is a holder with a seat, and the regulator's review two years later reads a record that shows the test applied.
The structure paper's page
The structure paper carries a page on landowner holders: the tier's tests, cap and minimum; each kind of owner against them; the restructurings; the confirmation's procedure with advisers; the marketing route per state for resident owners; the resident-holder rules per state; the provenance file's standard for landowning families; the committee's reading; and the acquisition process as an admission process. The page is written before the first landowner approach, and it is the page counsel reads when the family's form is known.
The second platform's reading
A manager's second platform is raised from the first platform's landowners among others, and they remember how they were classified: whether the conversation was had with their advisers, whether the restructuring suited them, whether the confirmation was explained. A first platform whose landowners were treated as investors from the first conversation has landowners who contribute to the second and bring others; one whose landowner's contribution was unwound on a classification claim has a market that heard. The tier's test applied to the landowner is the land door's respect for the person who made the access possible, and the first platform's record is whether the respect was there.
Four cases, as types
A platform admits a family of six as contributors because the parcel is its seed, without reading the tier. The register breaches the cap, three members fail the test, and the regulator's review finds a fund outside its tier on its first admission.
A platform classifies an individual landowner as professional on a confirmation the landowner's advisers did not see. The parcel's programme stalls, the units fall, and the landowner's claim is that it was never a professional investor and the contribution is unwound at the platform's cost.
A platform discusses units with a landowner resident in a state with strict rules on offers to individuals, without the licensed person. The state's authority reads the contribution as an unlawful offer to a resident, and the manager's conduct record in the centre carries it.
A platform reads the tier against the owner before the terms, restructures where the owner fails, records the classification, conducts the approach under the marketing rules, builds the file, and admits a holder the regime permits. The landowner is an investor, and the platform treated it as one from the first conversation.
What each party holds
The manager holds the tier's tests applied to the owner, the classification record and the restructuring.
The landowner holds its classification, understood with its advisers, and its units or its restructured position.
Counsel in the centre holds the tier's rules; counsel in the state holds the marketing rules and the resident-holder rules.
The licensed person holds the approach to a resident owner.
The administrator holds the record and the provenance file.
The lender holds its reading of the classification record.
Where it surfaces
It surfaces at the administrator's subscription checks, when the contribution arrives without a classification. It surfaces at the register's count, when the family is six. It surfaces at the minimum, when the parcel divided is small. It surfaces at the state's marketing rules, when the conversation about units was had without the licensed person. It surfaces at the provenance file, when the family's member holds public office. It surfaces at the regulator's review of the register. And it surfaces at the owner's claim, when the units have fallen and the confirmation is read.
The cost of getting it wrong
A landowner admitted outside the tier costs the platform a breach of its registration's condition, a regulator's finding on its first admission, a subscription voidable at the owner's instance in some regimes, and a lender's base that excludes the contribution. A landowner approached outside the marketing rules costs the manager a conduct finding in two regimes. The cost of reading the tier against the owner is counsel's morning before the terms, and the cost of the restructuring where the owner fails is a vehicle the family may have wanted anyway.
The committee's reading
The committee reads each contribution's classification record before approving the contribution as a related-party dealing: the tier's criteria, the evidence, the confirmation and its circumstances, the count after admission, the minimum, and the restructuring where one was needed. It reads the marketing route by which the owner was approached. And it reads the provenance file's completion. A committee that approves a contribution on the parcel's valuation alone has approved a holder it did not classify, and the regulator's review reads the minute.
A timeline, as a type
At design the tier's tests are read against the owners the platform expects and the acquisition process is drafted as an admission process. In month one a family landowner is approached under the state's marketing rules with the licensed person present when units are discussed. In month two counsel reads the family against the tier: four members, two pass, the cap and the minimum both fail for four. In month three the family forms a company, reads the classification with its advisers, and signs the confirmation as the company. In month four the provenance file is built with enhanced review for one member. In month five the committee reads the classification record, the marketing route and the file, and approves the contribution. In month six the parcel transfers and the units are issued to the company. In year two the regulator's review reads the record. In year four the company's representative votes its units on an extension, under the family's internal arrangements, without dispute.
The sequence
- The tier's tests, cap and minimum are read against each kind of owner the platform expects to contribute.
- Each landowner's standing is read before the terms, and the restructuring is designed where it fails.
- The approach is conducted under the centre's and the state's marketing rules, with the licensed person present for the units.
- The classification record and the provenance file are built before the contribution completes.
- The owner's advisers read the classification and the tier's consequences before signing.
- The contribution agreement's conditions include the tier's, and the contribution completes into a register the regime permits.
Questions a manager asks
Can the tier be chosen to admit landowners. The tier is chosen to the register the platform expects, and a platform that expects family landowners reads the tier's tests against them at design rather than after the seed is found.
Does a large parcel make an individual professional. On net assets, often; the confirmation and the evidence are still required, and the owner's advisers read what the classification means.
What about an heir who is a minor. A holder the tier cannot admit directly; the estate's vehicle or a trustee holds, and counsel reads the regime's treatment.
Is a joint venture beneath the platform worse for the owner. It is a different position: a share of one parcel company with a control matrix, no platform units, no platform exit; some owners prefer it, and the developer room's structure governs it.
Who tells the owner about the classification. The manager, through the licensed person where the state requires, with the owner's advisers present, before the terms.
Does the lender care. It counts the contribution as funded capital and reads the classification for the subscription's validity.
