The exit that releases Indian capital early is defined by the municipality, not the contract.

19 minute read

Foreign capital may leave a construction-development company before the lock-in ends only when the project's trunk infrastructure is complete as the rules define it, and completion is a fact the municipal authority certifies.

The lock-in on foreign capital in an Indian construction-development company runs for a period from each tranche, and the rules name an exception: the capital may leave early once the project is complete, or once its trunk infrastructure, the roads, water supply, street lighting, drainage and sewerage, is complete. Managers read the exception as a route around the lock-in, and they plan the exit on it: build the infrastructure in the first two years, certify completion, sell. The exception is real and the plan is wrong in one word. Completion under the rules is a fact the municipal authority certifies, on its own reading of the rules' definition, on its own inspection, on its own clock, and not a fact the developer's engineer, the fund's counsel or the sale contract can declare. A fund that planned its exit on the exception has planned it on a municipal fact. The project may be complete by the developer's measure and not by the authority's. The certificate may take a year after the works. The definition may have been read differently by the authority than by the fund's counsel. And the bank that processes the repatriation will ask for the certificate before it releases the proceeds, because the bank's own rules make it the party that checks.

This note sets out the exception and its two limbs, what trunk infrastructure means under the rules, the municipal authority and its certificate, the developer's measure and the authority's, the bank as the checker, the exit built on the lock-in with the exception as upside, the works put first where the exception matters, the certificate on the sequence without a date, the development agreement's obligations on the works, the two exits the exception does not touch, the lender's reading, the Gulf platform's reading against the escrow regimes, a comparison, a worked programme as a type, cases, what each party holds, the sequence, questions, terms and what to read.

The exception's two limbs

The rules permit the foreign investor to exit before the lock-in's period on completion of the project, or on the development of trunk infrastructure, each as the rules define. The first limb is the whole project complete, which for a township or a large scheme is the end of the programme and no early exit at all. The second is the trunk infrastructure complete, which can precede the buildings by years, and it is the limb managers plan on. Each limb is a defined event, and each is proved by the authority's certificate rather than by the fund's assertion, because the bank, which applies the exception at the remittance, requires the evidence the rules contemplate.

What trunk infrastructure means

The rules define trunk infrastructure by its components: roads, water supply, street lighting, drainage and sewerage, within the project, to the standard the local authority requires for the project's approval. The definition is the rules', and the components are each a work the authority inspects: a road built to the approved specification and width, a water supply connected to the authority's network or to an approved source, lighting installed and powered, drainage and sewerage laid and connected. A developer's engineer may certify the works as done; the authority certifies them as complete to its standard, and the two are not the same document.

The municipal authority and its certificate

The authority that certifies is the local body or the development authority whose approval the project holds, and its certificate of completion of infrastructure is issued on application, after inspection, against the approved plans and the authority's standards, on the authority's clock. The clock is the authority's: the inspection is scheduled, the deficiencies are noted, the rectifications are inspected again, and the certificate issues when the authority is satisfied. A fund's counsel reads the rules' definition; the authority reads its own standards; and the certificate is the authority's reading made into a document. The bank reads the document.

Why the word matters

The exception's word is completion, and completion is a defined term whose definition is applied by the authority that certifies it. A manager reads the word in the rules and supplies its own meaning, the developer's; the bank reads the word in the rules and asks for the authority's. The same word, two readers, and the bank's reading is the one that moves money. The plan is wrong in one word because the word's meaning is not the planner's to supply, and the correction is to replace the developer's date with the authority's step and to build the exit on the clock that does not depend on it.

The application's documents

The application for the certificate is made with the approved plans, the completion drawings, the contractor's and the engineer's certificates, the connection confirmations from the water, power and sewerage authorities, the test results the authority requires, and the authority's own forms and charges. Each connection confirmation is another authority's document on another clock, and the application is complete when the last arrives. The development agreement lists the documents as the developer's deliverables, and a developer that completes the works and has not assembled the documents has a certificate whose clock has not started.

The deficiency cycle

The authority inspects against its standards and notes deficiencies, the developer rectifies, the authority reinspects, and the cycle runs until the authority is satisfied. Each cycle is weeks to months, and a project with three cycles has a certificate a season or two after the works. The cycle is shortened by building to the authority's standards from the start, by the developer's own pre-inspection against the authority's checklist, and by the connections secured before the application. The cycle is the certificate's real clock, and the sequence allows for it rather than for the inspection alone.

The developer's measure and the authority's

The developer measures completion by its programme: the roads laid, the pipes in, the lights up, the works handed to the authority for connection. The authority measures it by its standards and its inspection, and a road laid to the developer's specification may not be to the authority's width, a drainage system laid may not be connected, a water supply may await the authority's own network extension. The gap between the two measures is the certificate's delay, and it is the gap the fund's exit plan did not see when it read the developer's programme as the exception's date.

The bank as the checker

The authorised dealer bank processes the outward remittance of the sale proceeds against the rules, and the lock-in is a rule it applies: it reads the share register for the tranches, the clocks for their dates, and, where the fund claims the exception, the evidence of completion. The bank's own guidance requires it to satisfy itself, and a certificate from the authority is the evidence it accepts; a developer's engineer's certificate, a counsel's opinion or a sale agreement reciting completion is not. The bank is the exception's gate, and the certificate is its key.

The exit built on the lock-in

The structure builds the exit on the lock-in, not the exception. The fund's term and its exit programme assume the lock-in's period from the last tranche, and the exception is upside if it arrives. A fund with a term that only works if the exception arrives has a term that depends on a municipal fact, and a term extension the holders must approve when the fact is late. The structure paper's table carries the lock-in schedule as the base case and the exception's earliest date as a sensitivity, and the memorandum describes the exit on the base case.

The memorandum's sentence

The memorandum describes the Indian exit on the base case, the lock-in's expiry from the last planned tranche, and describes the exception as a possibility dependent on the authority's certificate, with no date. A memorandum that describes the exit on the exception has described an exit the manager does not control, and the holders that subscribed to it hold an expectation the authority sets. The sentence is the memorandum's honesty about Indian timing, and a holder that read it does not ask for the extension's reason when the certificate is late, because the base case never assumed it.

The works put first

Where the exception matters, the development programme puts the trunk infrastructure works first: a project that builds its roads, water, lighting, drainage and sewerage before its buildings has the certificate earlier, and the certificate's clock begins at the works' completion. A programme that builds the infrastructure phase by phase with the buildings has a certificate at the last phase, which is the project's end. The sequencing is a development decision with a financing consequence, because infrastructure first is capital spent before revenue, and the platform weighs the exception's value against the programme's cost.

The certificate on the sequence

The structure paper names the certificate as a step on the sequence with the authority as the party who grants it and no date, because the date is the authority's. The step has predecessors, the works' completion and the application with its documents, and successors, the bank's acceptance and the remittance; and it has a contingency, the lock-in's own expiry, which arrives whether or not the certificate does. A sequence that gives the certificate a date has given the authority's clock a number the authority did not agree.

The development agreement's obligations

The development agreement holds the developer to the trunk infrastructure works: the scope to the authority's standard, the programme with the works first where the exception matters, the application for the certificate as the developer's obligation, the rectification of deficiencies, and the cooperation with the authority's inspections. The developer's promote or its charge may be tied in part to the certificate's issue, so that the developer's incentive is the authority's satisfaction and not its own engineer's. A development agreement that holds the developer to its own programme has a developer whose completion is its own measure.

The pricing certificate beside the infrastructure certificate

An exit to a resident buyer on the exception needs two certificates: the authority's for the infrastructure, which opens the exit, and the valuer's for the price, which caps it. The two are on different clocks and the sale agreement's conditions carry both, with the pricing certificate obtained as at a date the bank accepts relative to completion. A fund that obtains the infrastructure certificate and then discovers the pricing certificate's ceiling is below the agreed price has an exit that is open and a price the bank will not process, and the two are obtained together in the exit's planning.

The register of buyers and the exit

A township whose infrastructure is certified has usually begun selling plots or units under the state regulator's regime, and the fund's exit by a sale of the company's shares sells the company with its register of buyers, its escrow obligations and its regulator's registration, which the buyer takes with the authority's consent to the change of promoter's ownership where the regime requires. The infrastructure certificate opens the foreign capital's exit; the regulator's regime governs the project's continuation under the new owner; and the exit's sequence carries both, because a buyer that cannot take the registration cannot take the company.

The two exits the exception does not touch

A transfer of the foreign holder's shares to another non-resident does not repatriate anything, and the lock-in's application to it is read by counsel on the current position; the exception is not needed for it if the transfer is outside the lock-in, and the pricing rule does not apply between non-residents. A holder on a non-repatriation basis was never locked, and its exit is domestic. A fund that has both in its register has an exit programme with three tracks, foreign capital on the lock-in or the exception, a non-resident buyer, and the non-repatriation capital, and the structure paper draws all three.

The continuation vehicle on the exception

A continuation sale of the Indian company to a vehicle the manager also manages is an exit tested by the bank as any sale is, and a continuation timed to the fund's term rather than to the certificate or the lock-in is a sale the bank will process when one of them arrives. The continuation vehicle's fairness opinion reads the exit's timing as part of the price, because a company whose foreign capital cannot yet leave is worth less to a buyer whose own capital will be locked on entry, and the opinion's reading of the certificate's status is the committee's reading too.

The developer's incentive on the certificate

A developer's charge is usually for the works and its promote for the project's gain, and neither is tied to the authority's certificate unless the development agreement ties it. A part of the charge held back until the certificate issues, or a milestone payment on it, aligns the developer's attention with the authority's satisfaction, and a developer that knows its last payment waits for the certificate assembles the application's documents before the works complete. The alignment is a term of the development agreement and a line in the structure paper's page, and it is the cheapest acceleration the certificate has.

The lender's reading

An Indian construction lender reads the trunk infrastructure works as the project's first phase and the certificate as a milestone its facility may release against, and it reads the fund's exit on the exception as a change in its borrower's ownership it must consent to. A lender whose repayment depends on the project's sales reads the infrastructure-first programme as capital spent before revenue and sizes its facility to it. The lender's certificate milestone and the bank's exception certificate are the same document read for two purposes.

The Gulf platform's reading

A Gulf platform reads the Indian exception beside the Gulf escrow regimes' milestones: in both, an authority's certificate releases money the developer's own measure cannot, and in both the authority's clock is the programme's. The platform's discipline on the Gulf escrow's engineer's certificates is the same discipline on the Indian authority's infrastructure certificate, and a manager that has waited for a Gulf escrow release understands the Indian exception without being told twice. The difference is the stake: in the Gulf the release is the developer's cash flow, in India it is the fund's exit.

A programme, as a type

A fund's Indian company develops a township. The structure paper's table carries the lock-in from the last tranche as the exit's base case and the exception as a sensitivity. The development agreement puts the trunk infrastructure first, to the authority's standards, with the developer obliged to apply for the certificate and a part of its charge tied to its issue. The works complete in month twenty by the developer's measure; the application is made; the authority inspects in month twenty-three, notes drainage connections outstanding, reinspects in month twenty-eight and issues the certificate in month thirty-one. The fund, whose base case was the lock-in's expiry in month fifty-four, sells its shares in month thirty-four to a resident buyer at the certificate's ceiling, with the bank reading the authority's certificate, the register and the tax clearance and remitting. The exception arrived, eleven months after the developer's measure, and the fund's term was never at risk because it had not been planned on it.

The structure paper's page

The structure paper's India page carries the exception: the rules' definition and its components, the authority and its standards, the application's documents, the deficiency cycle's practice, the bank's evidence requirements, the base case and the sensitivity, the development agreement's obligations, the infrastructure-first decision and its cost, and the three exit tracks. The page is written before the development agreement, and it is the page the developer's programme is read against.

The second programme's reading

A manager's second Indian programme is raised on the first's exit record: whether the base case was the lock-in, whether the exception came and when, whether the developer's measure was ever offered to a bank, whether a term was extended for a certificate. A first programme whose holders received an early exit as upside is a programme whose holders read the second's base case with trust; one whose holders voted to extend for a certificate is a programme whose holders read the second's table for the word completion and ask who defines it.

Four cases, as types

A fund plans its term on the exception at month twenty-four, the developer's infrastructure completion date. The authority's certificate issues at month thirty-eight, the fund's term is extended by a holders' vote, and the holders ask why the exit was planned on a date the authority never agreed.

A fund's developer certifies completion through its engineer and the fund contracts to sell on it. The bank asks for the authority's certificate, which does not exist, the sale's long-stop passes, and the buyer leaves.

A fund's programme builds infrastructure phase by phase with the buildings. The certificate issues with the last phase in year six, which is the project's completion and the lock-in's expiry anyway, and the exception added nothing.

A fund builds its exit on the lock-in, puts the works first, holds the developer to the authority's standard and the application, names the certificate on the sequence without a date, and sells when the certificate arrives. The exception was upside and it came.

What each party holds

The fund holds the exit built on the lock-in with the exception as upside, and the sequence with the certificate undated.

The developer holds the works to the authority's standard, the application and the rectifications.

The authority holds the inspection, the standard and the certificate.

The authorised dealer bank holds the test at remittance and the evidence it accepts.

Indian counsel holds the rules' definition and the bank's practice.

The lender holds its milestone and its consent.

Where it surfaces

It surfaces at the term sheet, where the exit date is the developer's programme. It surfaces at the development agreement, in the scope's standard. It surfaces at the works' completion, when the application's documents are not assembled. It surfaces at the authority's inspection, in the deficiencies. It surfaces at the sale agreement's conditions. It surfaces at the bank, when the developer's certificate is offered. And it surfaces at the holders' meeting, when the term is extended.

The cost of getting it wrong

An exit planned on the exception costs the term's extension, the holders' vote, the buyer's long-stop, and the fund's credibility on Indian timing. An infrastructure-first programme chosen for an exception that would have added nothing costs the capital spent before revenue. The cost of building the exit on the lock-in is a longer base case in the memorandum, which is the true one, and the cost of the works first, where the exception is worth it, is a financing decision made with the numbers.

The committee's reading

The committee reads the exit plan for its base case and its sensitivity, the development agreement for the works' standard and the application obligation, the programme for the infrastructure's sequencing, the application's document list, and, when the certificate comes, the bank's acceptance. It reads a sale proposed on the developer's measure as a sale proposed on a document the bank does not accept. And it reads the holders' disclosure for the base case the memorandum described. A committee that reads the exception as upside reads the Indian exit as it is.

A timeline, as a type

At design the table carries the lock-in's expiry at month fifty-four as the base case and the exception's earliest at month thirty as a sensitivity. In month six the development agreement is signed with infrastructure first to the authority's standards and the application as the developer's deliverable. In month twenty the works complete by the developer's measure; in month twenty-two the last connection confirmation arrives and the application is made. In month twenty-three the authority inspects and notes deficiencies; in month twenty-six the rectifications are reinspected; in month thirty-one the certificate issues. In month thirty-two the conditional sale agreement's condition is satisfied; in month thirty-four the bank remits. The holders, whose memorandum described month fifty-four, received their proceeds twenty months early, as upside.

The sequence

  1. The lock-in schedule is the exit's base case in the structure paper and the memorandum, and the exception is a sensitivity.
  2. The development agreement puts the trunk infrastructure first where the exception matters, to the authority's standard, with the application as the developer's obligation.
  3. The certificate is a step on the sequence with the authority as grantor and no date.
  4. The works complete, the application is made, the inspections and rectifications run on the authority's clock.
  5. The certificate issues and is presented to the bank with the register, the pricing certificate and the tax clearance.
  6. The sale completes and the remittance is processed, or the lock-in expires first and the sale proceeds on it.

Questions a manager asks

Can the fund contract to sell before the certificate. Conditional on it, with a long-stop that covers the authority's clock and the lock-in's expiry as the fallback; an unconditional sale on the developer's measure is a sale the bank may not process.

What if the authority's standard exceeds the approved plans. The authority's standard governs its certificate, and the development agreement's scope is drafted to the authority's requirements rather than to the plans alone.

Does a partial certificate help. A certificate for part of the infrastructure is not completion under the rules' definition; counsel reads the authority's practice on phased certificates against the bank's.

Is the exception worth building for. Where the lock-in's expiry would fall well after the infrastructure's natural completion and the exit market is strong, yes; where the two are close, the infrastructure-first cost may not be worth it.

Who applies for the certificate. The company as the project's promoter, through the developer under the development agreement; the fund does not deal with the authority itself.

How does the bank know the certificate is genuine. It verifies with the authority where its practice requires; the company obtains the certificate in the form the authority issues and the bank recognises.

Terms used

Trunk infrastructure: the roads, water supply, street lighting, drainage and sewerage whose certified completion permits early exit under the rules.

Infrastructure certificate: the municipal or development authority's certificate that the trunk infrastructure is complete to its standard.

The exception: the rules' permission for foreign capital to exit before the lock-in's period on completion of the project or its trunk infrastructure.

Developer's measure: the developer's own determination that the works are done, which the bank does not accept.

Base case: the exit planned on the lock-in's expiry, with the exception as upside.

Three tracks: the foreign capital's exit on the lock-in or the exception, the non-resident buyer's, and the non-repatriation capital's.
